Agreement
These Terms are an agreement between you ("you") and OwnerFreed, a fictitious business name of SANMO HOME CARE SERVICE, INC. ("OwnerFreed," "we," "us"). OwnerFreed's services are for business use. By checking the box at checkout you agree to these Terms and to the Order you are buying. The Order and these Terms are the whole agreement about that service and replace anything said earlier in a conversation, demo, or marketing material. If an Order conflicts with these Terms on price, billing, minimum term, or what is included, the Order controls for that point. Your electronic acceptance at checkout is your signature, and we keep a record of which versions of these Terms and your Order you accepted and when.
What OwnerFreed Provides
OwnerFreed is a managed automation service. We learn which repeated tasks in your business you want automated, explain what we can automate (with a demo where possible), build the part you approve, test it, put it to work in your business, and then look after it. We do not replace your own tools, such as your calendar, scheduling, messaging, or payment systems; we automate work around them.
Your Order and Approved Automation
Before you buy, your Order tells you in plain words what the automation does, what happens automatically, what needs a person's action or approval, what is included and not included, what tools or accounts you need to connect, and what it costs.
We will set up and run the automation described in your Order. We will not materially expand it beyond what you approved without first explaining the change and getting your approval. Anything that needs your approval before it happens, according to your Order, will not happen until you give it.
Changes to scope. A new automation, a new tool or channel, or a significant redesign is outside your Order. We will explain it and quote it, and it starts only when you agree. Small in-scope changes, such as adjusting a message's wording, a business hour, or who gets a notification, are part of ongoing management.
After you check out we email a confirmation of what you agreed to (the service, fees, billing start, cancellation method, and the versions you accepted).
Setup and Your Cooperation
We can only build once you give us what we need: information, accounts, and access to your own tools, and your review of what we show you before it goes live. Please respond promptly. If we are still waiting for required access or information 30 days after purchase, we may treat setup as having started for the purposes of Section 11.
Ongoing Management
Where your Order includes a monthly management fee, we monitor the automation, look for problems, troubleshoot, restore affected functionality where reasonably possible, maintain the existing connections to your tools, make reasonable in-scope configuration changes, and provide support for the service you bought.
This is a management service, not a promise that nothing will ever go wrong. Software, connections, and third-party services can fail or change. We aim to find, diagnose, and reasonably restore problems as quickly as we can, but we do not guarantee that interruptions will never happen or that any specific recovery time will be met.
Limits of Automation and Third-Party Services
Automations can be delayed or make mistakes. Some use artificial intelligence to draft or interpret; where your Order says a person must approve something first, it waits for that approval. We do not let an automation make financial, legal, or similar major decisions for you.
Your automation may depend on third-party services (for example calendars, messaging or email providers, payment processors, and hosting). We do not control them. Their outages, changes, restrictions, or price changes can affect your service, and we are not responsible for what they do. Where reasonably possible we will work to restore or adapt your service. Except for what is in your Order and these Terms, the service is provided "as is," to the fullest extent the law allows.
No Business Results
OwnerFreed sells automation and its management, not business outcomes. We do not guarantee revenue, leads, bookings, sales, conversions, reviews, customer retention, or growth.
Your Responsibilities
You are responsible for: the accuracy of the information you give us; access to your own tools and accounts; running your own business lawfully; using your customers' and contacts' information lawfully; having any consent you need before we message someone for you; the content of messages you ask us to send; and reviewing the agreed automation before it launches. You may not use our services for anything unlawful, deceptive, or abusive, or to misuse our systems or another customer's data.
We are responsible for our own errors and conduct. Nothing in these Terms shifts to you a problem caused by OwnerFreed's own malfunction or misconduct.
Messages to Your Customers
If an automation sends text messages or emails to your customers or contacts, you decide who receives them, why, and what they say, and you are responsible for the contact information you provide and for having a lawful basis and any consent the law requires. We provide and manage the automation, we do not knowingly send messages outside the automation you approved, and we honor opt-out requests where the service is set up to handle them. If a message causes a third-party claim, each of us is responsible for the part that comes from our own side: you for the recipients, consent, and content you directed; us for our own malfunction or for acting outside your approved automation.
Fees
Your Order states two kinds of fee:
- Setup fee (one time): for configuring, connecting, and testing the automation.
- Monthly management fee (recurring, if any): for running, monitoring, troubleshooting, maintaining, and supporting the automation.
The setup fee is charged when you check out, before build and onboarding begin. Monthly management begins on your Go-Live date and is billed in advance each month starting that day; the monthly fee is not charged before Go-Live, and your Order confirms the start. At checkout your payment method is saved with our payment processor so that the monthly fee can be charged to it when monthly billing starts. Fees are in U.S. dollars; by checking out and separately agreeing to recurring billing you authorize those charges until you cancel. If a payment fails we may try again, pause the service until it is resolved, and end it if it stays unresolved after notice.
Price changes. We will give you at least 30 days' notice by email before a recurring fee changes. The change applies only to billing periods that start on or after the date in the notice, and you may cancel before then and not pay the new fee.
Cancellation and Refunds
Cancelling. Recurring services are month to month unless your Order clearly says otherwise before checkout. To cancel, email [email protected]. Cancellation takes effect at the end of your current billing period (unless your Order says otherwise), and you will not be charged for later periods. There is no cancellation penalty unless your Order clearly states one. If you cancel before monthly billing has started, no monthly fee will be charged, and the refund rules below apply to the setup fee. We record when we receive your request and confirm your cancellation by email.
Refunds. Refunds depend on how far the work has gone:
- Before any work starts: generally a full refund of the setup fee.
- After setup has started: a refund may reflect the work already done.
- Once setup and testing are substantially complete: the setup fee is generally not refundable.
- Management service already provided in a billing period is generally not refundable for that period.
- If we do not deliver the scope in your Order and do not reasonably fix that after you tell us, you get a refund for the part not delivered.
We apply these fairly and use reasonable judgment where a case falls between them.
Data and Confidentiality
You own your business data and content. We use it only to provide your service, and we protect it with reasonable safeguards as described in our Privacy Policy. Each of us will keep the other's non-public business information confidential and use it only for this service, except where the law requires disclosure. If you ask us in writing within 30 days after your service ends, we will respond in good faith to a request for a copy of the business data you provided for it.
Intellectual Property
You keep everything that is yours: your data, content, and materials. OwnerFreed owns or retains rights in various automation components, systems, workflows, templates, logic, and related technology used in providing the Services, including improvements we make. While your service is active you may use the automation we configured for you as part of that service.
Limitation of Liability
To the extent the law allows, neither of us is liable to the other for indirect, incidental, special, or consequential damages, or for lost profits or lost business. OwnerFreed's total liability for claims about a service is generally limited to the fees you actually paid for that service in the 12 months before the event that gave rise to the claim. These limits do not apply to fraud, willful injury, willful misconduct, or gross negligence, or to liability that the law does not allow to be limited (including, where applicable, for a violation of law).
Suspension and Termination
Either of us may end the agreement if the other materially breaks it and does not fix it after notice. We may pause a service for non-payment, a security risk, unlawful use, or if a required third-party provider stops allowing it, with notice where reasonable. If a pause or an event outside our reasonable control leaves the service materially unavailable through no fault of yours for more than 30 days, we will not charge the management fee for that period and either of us may end the service. When a service ends, billing stops going forward, and each of us stays responsible for amounts and obligations that arose before.
Changes to Terms
We may update these Terms. A new version applies to purchases made on or after its effective date. For a material change we will email you at least 30 days before it takes effect; for a recurring service you already have, it applies to billing periods that begin on or after that date, and you may cancel before then. A change to your recurring fee is handled under Section 10. A change to how disputes are resolved will need your separate agreement.
Governing Law and Contact
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any legal action arising out of or relating to these Terms must be brought in the state or federal courts located in Orange County, California. Questions, and requests to cancel, go to [email protected].
